KAIR Constitution

Article 1 - Name The name of this organization shall be the Kentucky Association
for Institutional Research.

 

Article 2 - Purpose The purpose of the Association shall be to advance research and
knowledge leading to greater understanding, planning and operation of institutions of postsecondary education throughout the state of Kentucky. The Association will seek to fulfill its purpose by meeting the following goals:

  • to provide for the continued professional development of individuals engaged in institutional research.

  • to promote training and professional development of those involved in the organization; and

  • to assist with the dissemination of information about institutional research.

Article 3 - Membership

Section 1. Membership in the Association shall be open to, but not limited to, any person actively engaged in institutional research or who has a professional interest in activities related to institutional research.

Section 2. Membership shall include all individuals who formally register for the annual meeting. Persons not attending the annual meeting may initiate or maintain membership by submitting an application with dues paid to the Secretary/Treasurer. There shall be no membership discrimination based upon age, race, sex, religious beliefs, or ethnic or national origin.

Section 3. The membership year shall extend from the beginning of the Annual
meeting through to the beginning of the next Annual meeting.

Section 4. The membership fee shall be determined by the Executive Board of the Association.

Article 4 - Officers and Executive Board

Section 1. The officers of the Association shall be a President, Vice-President, Secretary and Treasurer.

Section 2. The governing body of the Association shall be the officers of the Association and the immediate past president, and shall be referred to as the Executive Board.

Section 3. The Executive Board shall have authority to make policies for the
Association which are consistent with the Constitution and By-laws.

Section 4. Duties of Officers:

A. The President shall:

  • Act as spokesperson for the Association.
  • Preside at all business sessions of the organization's meeting.
  • Call all meetings of the Executive Board.
  • Perform any duties necessary to assist the Association in achieving its purpose.
  • Appoint members to appropriate Committees, including appointment of someone to coordinate the annual KAIR meeting.
  • In consultation with the Executive Board, set a date each year for the annual meeting of KAIR.
  • Term of office shall be one year.
  • Serve one year on the Executive Board as immediate past president.

B. The Vice President shall:

  • Serve  as Chairperson of the nominating committee to select candidates for officer positions (exceptions would be if the Vice-President becomes President, see section 5. In that case, a chair of the nominating committee will be appointed.)
  •  Perform duties assigned by the President.
  •  Perform the duties of the President in his/her absence or disability.
  •  Succeed to the office of the President at the end of the President's term. 

C. The Secretary shall:

  • Record the minutes of the business session of the annual meeting
    and meetings of the Executive Board.
  • Print and distribute notices and resolutions adopted at the annual
    meeting.
  • Disseminate information about the Association to the membership.
  • Term shall be two years.

D. The Treasurer shall:

  • Collect and maintain dues.
  • Prepare a financial statement and submit it at the annual meeting.
  • Term shall be three years.

Section 5. Unless otherwise provided for in the Constitution, the Executive Board shall have the authority to fill a vacancy by appointing an Association member to fill an unexpired term. A person appointed to finish the term of Vice President must run for election to become President. If the elected President resigns, the Vice President completes the year as President and is also the President the following year. In all other situations, the person appointed to an unexpired term shall be eligible to succeed him/herself and to serve a full elective term as provided in the Constitution.


Article 5 - Elections

Section 1 The officers of the Association shall be elected annually by the membership of the Association. The elected officers shall serve from the end of the annual meeting through the next annual meeting. Officers must be dues paying members of the association.

Section 2 A President is not eligible to succeed himself/herself in that office.

Section 3 Nominations: The President of the Association shall appoint a nominating committee, chaired by the Vice President, to prepare a slate of candidates for officers.

Section 4 Elections: All officers shall be elected at the business session of the annual meeting by a majority vote of those members present and voting. If there is more than one nomination for each office, the voting shall be by written ballot.

 

Article 6 - Adoption and Revision of the Constitution and By-Laws

Section 1 On the recommendation of the Executive Board or by majority vote of the members during the business session of the annual meeting, this Constitution and By-laws may be amended by a majority of the respondents to a mail ballot of the Association membership. Written notice of any proposed amendment to the Constitution shall be send to all current members of the Association at least 30 days prior to the mailing of the ballots.

Section 2 This Constitution shall become effective upon ratification by the members, herein defined, who attend the business session of the annual meeting when this Constitution is presented, and who make dues payment for the current year membership.

KAIR By-Laws

 

Section 1. Membership fees shall be set on an annual basis by the Executive Board.

 

Section 2. Association committees may be established as deemed appropriate by the President.

 Section 3. The Association shall operate according to Roberts Rules of Order.

 

** Section 4. Said organization is organized exclusively for charitable, religious, educational, and specific purposes, including, for such purposed, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code. **

 

Section 5. No part of the net earning of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the
organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposed set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c)(3) of the Internal Revenue Code, corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code. **

 

Section 6. Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue
Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the country in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are

Section 7. The President shall appoint two KAIR members to serve on the Audit Committee. The Committee's purpose is to perform an annual review of KAIR's financial affairs and report findings to KAIR officers and membership. The Committee shall report any discrepancies, inconsistencies and areas of concern. The Audit Committee's report shall be a standard agenda item during KAIR's business meeting at each annual
conference.
